Terms of Service -- Full Text
These terms govern all access to and use of the Siemens Road website, products, and services. By engaging with our platform, you acknowledge that you have read, understood, and agreed to be bound by every provision below.
Acceptance of Terms
By accessing this website, requesting a quotation, or purchasing any product or service from Siemens Road, you agree to these Terms of Service in full. If you disagree with any part of these terms, you must immediately discontinue use of our website and refrain from engaging our services.
These terms constitute a legally binding agreement between you ("the User") and Siemens Road Engineering ("the Company"). The Company reserves the right to modify these terms at any time, with changes effective immediately upon posting to this page.
Eligibility & Registration
Our services are available to individuals who are at least 18 years of age and to legally registered business entities. When requesting quotations or submitting tender documents, you warrant that all information provided is accurate, current, and complete.
The Company reserves the right to refuse service, terminate accounts, or remove content at our sole discretion, without prior notice, for any reason including but not limited to violation of these terms or applicable law.
Products & Quotations
All quotations provided by Siemens Road are valid for a period of thirty (30) days from the date of issuance, unless otherwise stated in writing. Quotations are based on the specifications provided at the time of request and may be subject to revision upon receipt of final approved drawings.
- All prices are quoted in USD unless otherwise agreed in writing.
- Shipping costs, customs duties, and installation fees are itemized separately.
- Final invoices are subject to adjustment based on actual engineering site surveys.
Payment & Invoicing
Unless otherwise agreed in a signed contract, the following payment schedule applies: 30% advance payment upon order confirmation, 40% upon manufacturing completion, and the remaining 30% prior to delivery or installation.
All payments must be made via bank transfer to the account specified on the official invoice. Late payments are subject to a monthly interest charge of 1.5% or the maximum rate permitted by law, whichever is lower.
Delivery & Installation
Standard lead time for modular laboratory furniture is fifteen (15) business days from receipt of approved drawings and advance payment. Custom-engineered solutions may require extended production timelines, which will be communicated in the formal quotation.
The User is responsible for ensuring that the installation site is prepared, accessible, and free from hazards prior to our installation team's arrival. Any delays caused by site unavailability may incur additional charges.
Warranty & After-Sales Support
All Siemens Road products are warranted against manufacturing defects for a period of twenty-four (24) months from the date of installation. The warranty covers structural integrity, mechanical function, and surface coating under normal laboratory operating conditions.
Warranty claims must be submitted in writing with photographic evidence. The Company reserves the right to inspect the claimed defect on-site or via remote diagnostic tools before approving replacement or repair.
Termination
Either party may terminate an active service agreement with thirty (30) days written notice. Upon termination, the User is obligated to pay for all products manufactured and services rendered up to the effective date of termination.
Sections 3 (Intellectual Property), 5 (Liability Boundaries), and 6 (Dispute Resolution) shall survive any termination of this agreement.
Entire Agreement
These Terms of Service, together with any signed service agreements, purchase orders, and technical specifications, constitute the entire agreement between the User and the Company. Any prior discussions, representations, or agreements not expressly incorporated herein are null and void.

Liability Boundaries
This section defines the limits of Siemens Road's financial and legal responsibility in connection with your use of our website, products, and services.
Limitation of Liability
To the maximum extent permitted by law, Siemens Road Engineering, its officers, directors, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if Siemens Road has been advised of the possibility of such damages.
Financial Cap on Liability
In no event shall the aggregate liability of Siemens Road Engineering arising from or related to these terms, the use of our website, or the purchase of products/services exceed the greater of:
- The total amount paid by you to Siemens Road in the twelve (12) months preceding the claim; or
- Five Thousand US Dollars ($5,000.00 USD).
This cap applies to all claims in the aggregate, regardless of the number of claims or legal theories asserted.
Exclusions from Limitation
Nothing in these terms shall limit or exclude liability for:
- Death or personal injury caused by our negligence or that of our employees.
- Fraud or fraudulent misrepresentation.
- Gross negligence or willful misconduct.
- Any liability that cannot be excluded or limited under applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Siemens Road Engineering, its affiliates, officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the website or services.
- Your violation of these terms.
- Your violation of any third-party rights, including intellectual property rights.
- Your submission of inaccurate or misleading information.
Force Majeure
Siemens Road shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, pandemic, supply chain disruptions, power failures, or internet outages.
Our performance under these terms is suspended for the duration of any such force majeure event, and we will use commercially reasonable efforts to resume performance as soon as practicable.

Dispute Resolution
This section outlines the procedures for resolving disputes between you and Siemens Road Engineering, including governing law and arbitration requirements.
Informal Resolution & Good Faith Negotiation
Before initiating any formal dispute resolution process, both parties agree to attempt good faith negotiation for a period of thirty (30) days. Written notice of the dispute must be provided to the other party, including a detailed description of the issue and proposed resolution.
If the dispute remains unresolved after thirty (30) days, either party may proceed with the formal mechanisms described below.
Arbitration Agreement
Any dispute, controversy, or claim arising out of or relating to these terms, or the breach, termination, or validity thereof, shall be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force.
- The seat of arbitration shall be Singapore.
- The tribunal shall consist of one (1) arbitrator appointed by mutual agreement, or failing agreement, by the SIAC.
- The language of arbitration shall be English.
- The arbitral award shall be final and binding on both parties.
Each party shall bear its own costs and expenses of arbitration, unless the tribunal determines that an allocation of costs is appropriate.
Governing Law
These terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
For any disputes that are not subject to mandatory arbitration under applicable law, the parties submit to the exclusive jurisdiction of the courts of Singapore.
